1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the StatGazer website at statgazer.com (the "Site"), operated by StatGazer LLC ("StatGazer", "we", "us"). By using the Site you agree to these Terms. If you do not agree, do not use the Site.
2. Who we are
StatGazer LLC is a quantitative consultancy based in New York, United States, operating globally. We provide technical model review, validation, research, engineering, and training services to investment teams and data-driven organizations. Contact and vendor-onboarding route: hello@statgazer.com.
3. The Site is informational
The Site describes our services and is provided for general information. Nothing on the Site is an offer, a binding quote, or a commitment to provide services. Any engagement is governed by a separate written agreement between you and StatGazer, which controls in the event of any conflict with these Terms.
4. No investment, legal, tax, or assurance service
Content on the Site is not investment, legal, accounting, or tax advice, and is not a recommendation, solicitation, or offer to buy or sell any security or financial instrument. StatGazer is not a CPA firm, public accounting firm, broker-dealer, investment adviser, or regulatory assurance provider. Our model reviews, validations, findings memos, notebooks, and reports are technical consulting deliverables, not financial-statement audit opinions, attestation reports, regulatory assurance reports, or legal opinions. Methods and examples are illustrative. You are responsible for your own decisions and for obtaining appropriate professional advice.
5. Engagements, paid consultations, and programs
Consulting engagements (such as technical model reviews, model builds, and validation work) are scoped and priced per engagement and are governed by a written engagement agreement. Paid one-on-one consultations and paid programs, such as training cohorts, may be purchased through a checkout we provide and are subject to our Refund Policy. Fees, scope, deliverables, and timelines are set out in the applicable agreement or at the point of purchase.
6. Intellectual property
The Site and its content — text, design, code, and marks — are owned by StatGazer or its licensors and are protected by applicable law. You may not copy, reproduce, or create derivative works from the Site without permission. Ownership of deliverables created during an engagement is set out in the engagement agreement; absent other terms, you own the deliverables produced for you, while StatGazer retains its pre-existing methods, tooling, and general know-how.
7. Confidentiality
Confidential information exchanged in connection with an engagement is governed by a non-disclosure agreement. We do not publish client names, data, or results without written permission, and we expect the same discretion in return. Where possible, we work inside your environment or on the smallest useful extract. Access is limited to the founder unless otherwise agreed in writing, and client data is not used for third-party AI training.
8. Acceptable use
You agree not to misuse the Site, including by attempting to disrupt it, access it through unauthorized means, or use it in violation of applicable law.
9. Disclaimers
The Site is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the maximum extent permitted by law, StatGazer will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the Site. Liability arising from an engagement is governed by the applicable engagement agreement.
11. Third-party links and services
The Site may link to third-party sites or rely on third-party services (for example, web fonts, hosting, and payment processing). We are not responsible for the content or practices of third parties.
12. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the date above. Your continued use of the Site after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in New York, to the extent permitted by law.
